1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Umity Solutions Inc. ("Umity", "we", "us", or "our") governing your access to and use of the Umity community platform, including all websites, progressive web applications, administrative dashboards ("Umity Command"), and related services (collectively, the "Platform").

By creating an account, making a donation, registering for an event, or otherwise accessing the Platform, you represent that you are at least 13 years of age and have the legal capacity to enter into these Terms.

2. Description of Services

The Platform provides community management tools for faith-based organizations, including:

Features are provided on an "as available" basis. We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

3. User Accounts and Registration

3.1 Account Creation

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep it updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@umitysolutions.com if you suspect unauthorized access. You are responsible for all activity under your account.

3.3 Masjid Manager Accounts

Administrative accounts ("Masjid Managers") receive elevated access to Platform modules. Masjid Managers are responsible for ensuring their use complies with these Terms and all applicable laws, including PIPEDA and Canadian charity law. The masjid organization bears responsibility for the actions of its designated administrators.

4. Acceptable Use Policy

You agree to use the Platform only for lawful purposes. You agree NOT to:

5. Donations and Financial Transactions

5.1 Umity Is Not a Payment Processor

Umity Solutions Inc. is a technology platform facilitator only. Umity is NOT a payment processor, payment service provider, financial institution, or money services business.

All payment transactions conducted through the Platform (including donations and membership fees) are processed exclusively by independent third-party payment processors, which may include Worldline, Stripe, or other certified processors (collectively, "Payment Processors"). Umity does not collect, hold, process, or transmit your payment card data, banking information, or financial credentials. All such data is transmitted directly to and handled exclusively by the applicable Payment Processor under their own systems, infrastructure, and regulatory compliance frameworks.

By initiating a payment through the Platform, you are entering into a transaction directly governed by the Payment Processor's terms of service and privacy policy, which you are encouraged to review before transacting. Umity accepts no responsibility or liability for any aspect of payment processing, including transaction authorization, settlement, fraud, errors, system failures, or data breaches occurring within the Payment Processor's systems.

5.2 Designated Funds

Donations designated to specific funds (e.g., Zakat, Youth Program Fund, Iftar Sponsorship, General Donation) will be directed to the applicable program as administered by the masjid organization. Umity facilitates the connection between donors and masjids but does not independently control, administer, or guarantee the application of funds. Donors with concerns about fund allocation should contact the masjid directly.

5.3 Disputes and Refunds

All payments facilitated through the Platform are processed by the applicable Payment Processor and are subject to that processor's refund and chargeback policies. Umity has no authority to authorize, reverse, or refund any transaction, as Umity does not receive, hold, or control your funds at any point.

Disputes regarding charges, unauthorized transactions, or refund requests must be directed to: (a) the applicable Payment Processor (e.g., Stripe or Worldline) using their dispute resolution procedures; and/or (b) your card issuer or financial institution. Umity may assist by providing transaction records upon request, but bears no financial liability for any transaction and cannot compel a refund on your behalf.

5.4 Tax Receipts

The issuance of charitable tax receipts is the responsibility of the receiving masjid or charitable organization, not Umity Solutions Inc. Umity provides donation records and reports to assist organizations with receipt issuance. Umity makes no representation as to the tax deductibility of any donation.

5.5 Membership Fees

Community membership fees (Individual: $50/year; Family: $120/year) are collected on behalf of the partner masjid organization and processed by the applicable third-party Payment Processor. Umity acts solely as a technology facilitator and does not retain membership fees. Fee refund eligibility is governed by the Payment Processor's terms and applicable consumer protection law. Umity is not liable for any failure, error, or dispute arising from the processing of membership fees.

6. Intellectual Property

6.1 Umity's Intellectual Property

The Platform, including its design, software, code, features, branding, trademarks, logos, and all content created by Umity (collectively, "Umity IP"), is the exclusive property of Umity Solutions Inc. and is protected by Canadian and international intellectual property laws. You may not reproduce, distribute, modify, or commercially exploit any Umity IP without prior written permission.

6.2 Masjid and Community Content

Content uploaded by masjid organizations remains the property of the uploading organization. By uploading content to the Platform, the organization grants Umity a non-exclusive, royalty-free license to display, store, and transmit such content solely for the purpose of operating the Platform.

6.3 User Feedback

If you submit feedback or suggestions to Umity, you grant us a perpetual, irrevocable, royalty-free right to use and incorporate such feedback into the Platform without compensation to you.

7. Third-Party Services and Links

The Platform integrates with and may link to third-party services, including Payment Processors, mapping services, and local business websites. These services are governed by their own terms and privacy policies. Umity is not responsible for the availability, content, security, or practices of any third-party service. Your use of third-party services is at your own risk.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY.

Umity does not warrant that the Platform will be uninterrupted, error-free, or completely secure; that prayer times or event information will be error-free or current; or that the Platform will meet your specific requirements.

Prayer time calculations are provided for convenience only and are based on standard astronomical algorithms and configured masjid settings. Users should verify prayer times with their local masjid authority. Umity is not liable for any religious or spiritual consequence arising from reliance on Platform-provided prayer times.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UMITY SOLUTIONS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, PAYMENT PROCESSING ERRORS, OR FAILURES OF THIRD-PARTY PAYMENT PROCESSORS.

IN NO EVENT SHALL UMITY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO UMITY IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, Umity's liability is limited to the greatest extent permitted by applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Umity Solutions Inc. and its officers, directors, employees, and agents from and against all claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: your violation of these Terms; your use or misuse of the Platform; your violation of any applicable law; or any content you submit through the Platform.

11. Masjid Organization Responsibilities

Masjid organizations and faith communities that license the Platform ("Partners") are independently responsible for:

Umity is a technology platform provider only. Umity does not act as a charitable organization, financial institution, or legal agent of any Partner masjid, and does not endorse or take responsibility for the activities or conduct of any Partner organization.

12. Modifications to Terms

Umity reserves the right to modify these Terms at any time. Material changes will be communicated at least 14 days before they take effect via in-app notification, email, or prominent notice on the Platform. Your continued use of the Platform after the effective date constitutes acceptance of the changes.

13. Termination

Umity reserves the right to suspend or terminate your access at any time, with or without cause or notice, including for violation of these Terms. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnification, and governing law) shall survive. You may terminate your account at any time by contacting support@umitysolutions.com.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

14.2 Jurisdiction

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada.

14.3 Informal Resolution

Before initiating formal legal proceedings, you agree to first contact Umity at legal@umitysolutions.com and attempt to resolve the dispute informally for a period of 30 days.

14.4 Class Action Waiver

To the extent permitted by applicable law, any claims shall be brought on an individual basis only, and not as part of any purported class or representative proceeding.

15. General Provisions

Entire Agreement: These Terms, together with the Umity Privacy Policy, constitute the entire agreement between you and Umity regarding your use of the Platform.

Severability: If any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary, and remaining provisions continue in full force.

Waiver: Failure by Umity to enforce any right does not constitute a waiver of that right.

Assignment: You may not assign your rights under these Terms without Umity's prior written consent. Umity may assign without restriction in connection with a corporate transaction.

Force Majeure: Umity is not liable for delays or failures due to causes beyond its reasonable control.
